Service

These Terms of Service ("Terms") govern your access to and use of the Hockey Gear Exchange platform ("Platform"), including the website and any related applications, operated by Sports Gear Exchange Ltd. ("Hockey Gear Exchange," "we," "us," or "our").

By creating an account or using the Platform in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.

Hockey Gear Exchange is a peer-to-peer listing platform that connects hockey families within their association to buy, sell, and trade used hockey gear. We provide the technology that allows users to post listings, browse listings, and communicate with one another.

Hockey Gear Exchange is not a party to any transaction. We do not buy, sell, hold, or inspect gear. We do not process, hold, or facilitate the transfer of money between users. We do not arrange, coordinate, or take responsibility for the physical handoff of equipment.

All transactions — including payment and the physical transfer of gear — take place directly between buyer and seller, entirely outside the Platform. Hockey Gear Exchange's sole role is to provide a space where families within the same association can connect and list items.

To create an account, you must:

• Be at least 18 years of age, or the legal parent or guardian of the player(s) associated with the account;
• Have the legal authority to enter into a binding agreement on your own behalf and, if applicable, on behalf of your child; and
• Be a parent, guardian, or member of an active hockey association that has partnered with Hockey Gear Exchange.

By registering, you confirm you meet these requirements. Accounts are intended for family use; a single account may include player profiles for children in your care.

Registration requires your name, email address, a password, and your hockey association and team. You agree to:

• Provide accurate, current, and complete information and keep it up to date;
• Maintain the security of your password and accept responsibility for all activity under your account;
• Notify us immediately at hello@hockeygearexchange.ca if you believe your account has been compromised; and
• Not share your credentials with others or allow third parties to access your account.

One account per family is permitted. We reserve the right to suspend or terminate accounts that violate these Terms.

Hockey Gear Exchange is designed for hockey families. The account holder is always the parent or legal guardian. All activity on the Platform — listing gear, messaging other users, and agreeing to transactions — is conducted by the adult account holder.

Account holders may add one or more player profiles for children in their care. A player profile may include the child's first name or preferred name, year level, skill level, birth month, position, and equipment size preferences. This information is entered by the account holder solely to facilitate gear matching within the association.

By adding a player profile, you confirm that:

• You are the parent or legal guardian of that player;
• You consent to the collection and use of the player's profile information as described in our Privacy Policy; and
• You take full responsibility for all activity on your account relating to that player.

When you post a gear listing, you represent and warrant that:

• You own the listed item or have the right to sell or trade it;
• The listing is accurate and not misleading — including the item's description, condition, and photos;
• The item is legal to sell in Canada and does not infringe any third-party rights;
• You own or have the right to use any photos you upload; and
• The item is genuine hockey gear, not unrelated merchandise.

By posting a listing, you grant Hockey Gear Exchange a non-exclusive, royalty-free, worldwide licence to display and reproduce your listing content (including photos) solely for the purpose of operating the Platform. This licence ends when you remove the listing or close your account.

You are solely responsible for your listings. Hockey Gear Exchange does not verify, inspect, or certify any listed item and makes no representations about accuracy, safety, or quality.

Prohibited Listing Content

You may not list:

• Stolen, counterfeit, or otherwise illegal items;
• Non-hockey items or spam listings;
• Items with misleading descriptions or photos; or
• Gear subject to a safety recall.

When you agree to buy or sell an item through the Platform, you are entering a direct agreement with the other user. Hockey Gear Exchange is not a party to that agreement. The following are the exclusive responsibility of the buyer and seller:

• Payment: How and when money is exchanged (e.g., e-transfer, cash, or any other method the parties agree upon);
• Fulfilment: How gear changes hands (e.g., local pickup, a mutually agreed meeting location, or any shipping arrangement the parties choose); and
• Disputes: Any disagreement about price, item condition, fulfilment, or any other aspect of the transaction.

Hockey Gear Exchange strongly encourages users to meet in safe, public locations for in-person exchanges and to use payment methods that offer appropriate protections. Hockey Gear Exchange accepts no liability for failed, fraudulent, incomplete, or disputed transactions of any kind.

The Platform includes a messaging feature for users to communicate about listings. By using it, you agree to:

• Use it only for legitimate communications related to gear listed on the Platform;
• Not use it for spam, harassment, solicitation, or any prohibited purpose; and
• Take sole responsibility for any personal information you voluntarily share in messages.

Hockey Gear Exchange may review messages to ensure compliance with these Terms but does not guarantee their confidentiality from other users. Exercise caution before sharing personal contact information, addresses, or payment details with users you do not know.

You agree not to use the Platform to:

• Post false, misleading, or fraudulent listings or content;
• Harass, threaten, or intimidate other users;
• Circumvent or interfere with the Platform's security or access controls;
• Scrape, harvest, or collect data from the Platform without our written consent;
• Use the Platform for commercial purposes unrelated to peer-to-peer gear exchange (e.g., retail sales, bulk reselling, or advertising);
• Impersonate any person or entity, or misrepresent your affiliation with an association;
• Upload viruses, malware, or other harmful code; or
• Violate any applicable law or regulation.

We reserve the right to remove content and suspend or terminate accounts that violate these prohibitions, with or without notice.

All Platform content not submitted by users — including the Hockey Gear Exchange name, logo, design, software, and copy — is owned by Sports Gear Exchange Ltd. and protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works of any Platform content without our prior written permission.

User-submitted content (listing descriptions, photos, player profile information) remains your property. By submitting content you grant us the limited licence described in Section 6.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable Canadian law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or secure;
• Any listing is accurate, complete, or reliable; or
• Any transaction you enter into with another user will be completed, safe, or satisfactory.

Hockey Gear Exchange is a listing platform only. We make no representations about the quality, safety, legality, or condition of any item listed by users.

To the fullest extent permitted by applicable Canadian law, Sports Gear Exchange Ltd. and its officers, directors, employees, and agents will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform;
• Any loss arising from a transaction between users, including non-payment, non-delivery, or disputes about item condition;
• Any harm resulting from reliance on user-generated listing content; or
• Any unauthorized access to, or alteration of, your account or data.

Our total aggregate liability to you for any claim arising from or related to these Terms or your use of the Platform will not exceed the greater of: (a) the total amount you have paid to Hockey Gear Exchange in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100.00).

Some Canadian provincial laws do not permit the exclusion of certain implied warranties or limitation of certain liabilities. To the extent such laws apply, some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Sports Gear Exchange Ltd. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the Platform;
• Any content you submit to the Platform;
• Any transaction you enter into with another user; or
• Your violation of these Terms or any applicable law.

Hockey Gear Exchange currently operates as a peer-to-peer listing platform and does not facilitate payments. We reserve the right, at our sole discretion, to introduce additional services in the future — which may include payment processing, escrow, shipping integration, premium features, or transaction fees. Any such changes will be subject to updated Terms, which we will communicate as described in Section 17.

Nothing in these Terms limits our ability to expand, modify, or introduce new services or pricing for the Platform in the future.

You may close your account at any time by contacting us at hello@hockeygearexchange.ca. Your data will be handled on closure in accordance with our Privacy Policy.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, or if we discontinue the Platform. We will not be liable to you for any such termination.

Sections 10, 11, 12, 13, and 16 survive termination of your account or these Terms.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

We may update these Terms from time to time. When we make material changes, we will notify registered users by email and update the "Effective" date at the top of this page. Your continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.

If you do not agree to updated Terms, you must stop using the Platform and may close your account as described in Section 15.
